Spanner End-User License Agreement

End-User License Agreement (EULA)

This End-User License Agreement (“EULA”) is a legal agreement between you and Productive Insights Ltd. This EULA agreement governs your use of our Spanner software (“Software”). Please read this EULA agreement carefully before using the software. It details conditions for any license to use the Spanner software and contains warranty information and liability disclaimers. By installing or using the Software, you are confirming your acceptance of the Software and agreeing to become bound by the terms of this EULA agreement. The terms also apply to any Productive Insights Ltd. updates, supplements, Internet-based services, and support services for the Software, unless other terms accompany those items on delivery. If so, those terms apply.

License Grant

Productive Insights Ltd. hereby grants you a personal, non-transferable, non-exclusive licence to use the Spanner software during the period of the license under Order on your devices in accordance with the terms of this EULA agreement. You are permitted to load and run the Spanner software (on for example a PC, laptop, mobile or tablet) under your control for the License Term limited by the License Key. You are responsible for ensuring your device meets the minimum requirements of the Spanner software.

Where:

• “License Key” means a serial number that enables You to activate and use the Software.
• “License Term” means the duration of a License as specified in the Order
• “Order” means a purchase order, enterprise license agreement, or other ordering document issued by You to Productive Insights Ltd. or a Productive Insights Ltd. authorized reseller that references and incorporates this EULA and is accepted by Productive Insights Ltd.. You are not permitted to:
• Edit, alter, modify, adapt, translate or otherwise change the whole or any part of the Software nor permit the whole or any part of the Software to be combined with or become incorporated in any other software, nor decompile, disassemble or reverse engineer the Software or attempt to do any such things.
• Resell or otherwise make any charge for distributing this Software whether as a stand-alone product, or as part of a compilation or anthology.
• Use the Software in any way which breaches any applicable local, national or international law.

Intellectual Property and Ownership

Productive Insights Ltd. shall at all times retain ownership of the Software. The Software (and the copyright, and other intellectual property rights of whatever nature in the Software, including any modifications made thereto) are and shall remain the property of Productive Insights Ltd.. Productive Insights Ltd. reserves the right to grant licences to use the Software to third parties.

Termination

This EULA agreement is effective from the date you first use the Software and shall continue until terminated. The provisions that by their nature continue and survive will survive any termination of this EULA agreement.

Disclaimer of Warranties

This Software is provided “as is” without warranty of any kind, either express or implied. Productive Insights Ltd. do not warrant that the data, metrics, and functions contained in the software are complete, accurate or error-free; that they will in all circumstances meet your requirements; or that operation and access will be uninterrupted. To the fullest extent permitted by law, Productive Insights Ltd. shall not be liable for special, indirect, incidental, or consequential damages with respect to any claim based on or arising from this Agreement or the Software, even if Productive Insights Ltd. is advised of the possibility of such damages. Should Productive Insights Ltd. provide access to and use of any revised or updated versions of the Software, you agree that this Agreement shall apply to such revised or updated versions.

Governing Law

This EULA agreement, and any dispute arising out of or in connection with this EULA agreement, shall be governed by and construed in accordance with the laws of The United Kingdom.
